I. Key Responsibilities

• Provide legal consultation and support on commercial transactions and corporate matters, mainly for Japanese-affiliated companies. (General civil cases and intellectual property matters are not handled.)
• Corporate & commercial support
• Draft and review contracts in English and Vietnamese
• Advise on corporate legal matters in general
• M&A & restructuring
• Conduct legal due diligence
• Draft transaction documents and support negotiations
• Support applications for licenses and approvals from authorities
• Investment & market entry
• Support the establishment of local entities for companies entering Vietnam
• Research foreign investment restrictions and related regulations
• Support the drafting of joint venture agreements
• Labor & compliance
• Advise on Vietnamese labor law
• Draft and manage internal labor regulations and related documents
• Help prevent labor disputes
• Support fraud response and internal investigations
• Legal research & updates
• Research the latest laws and regulations and how they are applied in practice
• Prepare client newsletters

II. Job Requirements

Must have

• Vietnamese lawyer's license (Lawyer Practicing Certificate)
• 1–2 years of experience after obtaining the license is ideal; newly licensed lawyers are also welcome
• Fluent English (business level, written and spoken), including drafting and reviewing contracts in English
• Proactive attitude and ability to take ownership of client matters

Preferred

• Experience in corporate legal practice
• Experience in M&A transactions (strong plus)
• Experience working with Japanese clients or Japanese-affiliated companies
• Japanese language ability is not required
